GuideXia Mentor Agreement & Code of Conduct

This Mentor Agreement ("Agreement") governs your participation as a mentor on the GuideXia platform ("Platform", "we", "us", "our").

By registering as a mentor on GuideXia, you agree to comply with the terms outlined below.

1. Role of a Mentor

As a mentor on GuideXia, you agree that:

• You provide guidance, advice, and educational support based on your personal experience and knowledge.
• You are not an employee, agent, or representative of GuideXia.
• All sessions are informational and advisory in nature, not guaranteed outcomes.

2. No Representation of Employer

You acknowledge and agree that:

• You do not represent your current or past employer in any capacity.
• Your mentorship does not reflect the views, policies, or practices of any organization you are or were associated with.
• You will not imply endorsement or authorization from your employer.

3. Confidentiality & Non-Disclosure (Critical)

You strictly agree that you will NOT:

• Share confidential, proprietary, or internal information of any company.
• Disclose real interview questions, evaluation rubrics, internal tools, documents, or hiring processes.
• Share content protected under any NDA, employment agreement, or confidentiality obligation.

Any violation of confidentiality is the sole responsibility of the mentor.

4. Allowed & Expected Guidance

You may provide:

• Conceptual explanations and industry-standard knowledge
• Career guidance and general interview preparation
• Resume feedback and mock interviews (generic)
• Skill improvement strategies and learning roadmaps

You must ensure all guidance is:

• Ethical
• Lawful
• Non-misleading

5. No Guarantees or Promises

You agree that:

• You will not guarantee job offers, promotions, interview success, or outcomes.
• You will not make false or exaggerated claims to attract mentees.
• Learning outcomes depend on multiple factors beyond mentorship.

6. Professional Conduct

You must:

• Maintain respectful, professional communication at all times
• Avoid harassment, discrimination, or inappropriate behavior
• Respect mentee privacy and personal data

GuideXia reserves the right to suspend or terminate accounts violating conduct standards.

7. Payments & Platform Fees

• Mentor compensation is subject to GuideXia's platform fee and payment policies.
• GuideXia acts only as a facilitator and is not responsible for mentor-mentee disputes related to outcomes.
• Taxes and compliance obligations are the mentor's responsibility.

8. Independent Contractor Relationship

You acknowledge that:

• You operate as an independent service provider
• You are responsible for your own legal, tax, and regulatory compliance
• No employment, partnership, or agency relationship exists with GuideXia

9. Liability & Indemnification

You agree to:

• Take full responsibility for the content of your mentorship sessions
• Indemnify and hold GuideXia harmless from claims arising from:
  • Confidentiality breaches
  • Misrepresentation
  • Legal or employment disputes

10. Platform Rights

GuideXia reserves the right to:

• Review mentor profiles and content
• Suspend, restrict, or remove mentors for violations
• Update this agreement with prior notice

Continued use of the platform constitutes acceptance of updated terms.

11. Governing Law

This Agreement shall be governed by and interpreted under the laws of India.

Any disputes shall be subject to the jurisdiction of courts located in India.

12. Acceptance

By registering and offering services as a mentor on GuideXia, you confirm that:

• You have read and understood this Agreement
• You agree to comply with all terms stated above
